By creating an account on or otherwise accessing foundr.video ("the Service"), operated by Nikola Innovations Limited, a company registered in Nigeria ("Company," "we," "us," "our"), you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Acceptable Use Policy, and any other policies referenced herein. If you do not agree, do not use the Service.
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
FoundrVideo is an AI-powered video generation platform for SaaS companies. The Service generates short-form marketing videos from verified product data ("Truth Sheets") that you provide. The Service includes script generation, voice synthesis, avatar generation, visual composition, and optional social media publishing tools.
The Service uses artificial intelligence and third-party AI providers to process your data and generate video content. All generated content is AI-produced and subject to the limitations inherent in current AI technology.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep your account information updated.
You must notify us immediately at support@foundr.video if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
One person or legal entity may maintain only one account. Creating multiple accounts to circumvent credit limits, free trial restrictions, or any other limitation is prohibited and grounds for immediate termination.
Plans and pricing. The Service offers subscription plans with varying credit allocations. Current plan details and pricing are displayed on our pricing page and may be updated from time to time. Price changes take effect at the start of your next billing cycle, with at least 30 days' notice.
Billing. Subscriptions are billed monthly or annually through our payment processor, Polar. By subscribing, you authorize recurring charges to your payment method. If a payment fails, we may retry the charge, suspend your access, or downgrade your account after reasonable notice.
Credits. Video generation consumes credits based on creator identity and video duration. Credits are deducted only after you explicitly approve the video plan and click "Generate Video." Credits are non-transferable between accounts. Unused credits roll over up to 1x your monthly allotment; excess credits expire at the start of each billing cycle.
Free trial. New accounts receive a one-time allocation of 110 credits (up to 3 videos). Free trial credits do not roll over and are not refundable. Each person or legal entity is entitled to one free trial.
Auto-renewal. All paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting support@foundr.video.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to the Service and your remaining credits until the end of that period.
Refunds. Because the Service delivers digital goods that are consumed immediately upon generation, subscription fees are generally non-refundable. We may, at our sole discretion, issue refunds or credit adjustments in cases of demonstrable Service failure (e.g., a video that fails to render due to a platform error, not a creative disagreement).
EU consumers. If you are a consumer in the European Union, you have a 14-day right of withdrawal from the date of purchase. However, by initiating video generation (which consumes credits), you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal for those consumed credits.
Credit refunds. Unused credits remaining on a cancelled account are not refundable in cash. If you believe credits were consumed due to a platform error, contact support@foundr.video within 14 days of the incident.
Your content. You retain all ownership rights to the content you provide to the Service, including Truth Sheet data, uploaded screenshots, logos, brand assets, and any text or media you input ("User Content").
License you grant us. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and transmit your User Content solely for the purpose of providing and improving the Service. This includes transmitting your data to third-party AI and cloud service providers necessary for video generation (such as AI models for script writing, voice synthesis, avatar rendering, and video composition). This license terminates when you delete your content or close your account, except as required for backup, legal, or compliance purposes.
Generated videos. Videos generated through the Service are licensed to you for unrestricted commercial use, including marketing, advertising, social media posting, and any other lawful purpose. You may edit, re-distribute, and monetize generated videos without additional fees or attribution.
Platform rights. We retain all rights to the Service itself, including its software, design, algorithms, workflows, and user interface. Nothing in these Terms grants you any right to our proprietary technology.
All scripts, voice narration, avatar performances, and composed videos produced by the Service are generated by artificial intelligence systems. While we employ verification processes to check generated content against your Truth Sheet data, AI-generated content may contain errors, inaccuracies, or unintended expressions despite our verification efforts.
You are solely responsible for reviewing all generated content before publishing or distributing it. Our human-in-the-loop review process (where you approve scripts and video plans before generation) exists to give you the opportunity to catch and correct any issues. By approving a script or video plan, you accept responsibility for the content as approved at that time.
We do not guarantee that generated content will be free of all errors. All generated scripts are verified against your product data, but this does not constitute a warranty of accuracy.
The Service requires your explicit approval at two stages before generating a video: (a) script approval and (b) video plan approval. No video is generated, no credits are consumed, and no content is published without your affirmative action at each stage.
By clicking "Approve Script" or "Generate Video," you confirm that you have reviewed the content presented and accept it as satisfactory for your purposes. You may not later claim that approved content was unauthorized or that you did not review it.
The Service may include tools for publishing generated videos to third-party social media platforms. You are solely responsible for ensuring that any content you publish complies with the terms of service of the destination platform and all applicable laws.
We are not liable for any action taken by a third-party platform against your content or account, including content removal, account suspension, or any penalties imposed by the platform.
Your use of the Service is subject to our Acceptable Use Policy (available at foundr.video/acceptable-use), which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
You agree to indemnify, defend, and hold harmless Nikola Innovations Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.
IN NO EVENT SHALL NIKOLA INNOVATIONS LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $500 USD, WHICHEVER IS GREATER.
By you. You may close your account at any time through your account settings or by contacting support@foundr.video.
By us. We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or any applicable law. We may also terminate accounts that have been inactive for more than 12 consecutive months.
Effect of termination. Upon termination, your right to use the Service ceases immediately. We may delete your account data, including generated videos, Truth Sheets, and uploaded assets, within 30 days of termination. Data required for legal, compliance, or audit purposes may be retained longer.
Sections that by their nature should survive termination (including Indemnification, Limitation of Liability, Governing Law, and Dispute Resolution) shall survive.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered under the rules of the Lagos Court of Arbitration, with the seat of arbitration in Lagos, Nigeria.
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, failures of third-party AI service providers, or any other force majeure event.
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.
Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
